Terms of Service

These Terms of Service ("Terms") govern your access to and use of mercatoros.com and all products operated by mercatorOS, including creditOS (available as a Shopify app, WooCommerce plugin, direct API, and the MercatorOS dashboard) and any future products launched under the MercatorOS platform ("Services"). By accessing or using any Service, you agree to be bound by these Terms.

If you are using a Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

Use of the Services

MercatorOS products are designed for B2B merchants and platform operators. Depending on the integration you use:

  • Shopify app — requires a valid Shopify store. Installation constitutes acceptance of these Terms.
  • WooCommerce plugin — requires a self-hosted WooCommerce store. You are responsible for ensuring compatibility with your hosting environment.
  • API — access requires a MercatorOS account and valid API credentials. You are responsible for keeping credentials secure.
  • MercatorOS dashboard — requires a registered MercatorOS account. You are responsible for all activity under your account.

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to violate any applicable law or regulation
  • Attempt to gain unauthorised access to any part of the Services or our infrastructure
  • Reverse-engineer, decompile, or extract source code from the Services
  • Resell, sublicense, or white-label the Services without our prior written consent
  • Use the Services in a way that disrupts or degrades performance for other users
  • Input false or misleading data to manipulate scoring outputs

Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@mercatoros.com if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

Subscriptions and Billing

MercatorOS products are available on a subscription basis. Billing method depends on the integration:

  • Shopify app — billed through the Shopify Billing API; charges appear on your Shopify invoice.
  • WooCommerce plugin and API — billed directly by mercatorOS; charges appear on your MercatorOS account invoice.

Free trial: New subscribers receive a 30-day free trial with full access to Growth plan features. No credit card is required to start a trial. Trials are available once per store or account.

Billing cycle: Subscriptions are billed monthly or annually depending on the plan selected. Annual plans are billed upfront.

Price changes: We will provide at least 30 days' notice before increasing subscription prices.

Taxes: Prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your local jurisdiction.

Cancellation

You may cancel your subscription at any time:

  • Shopify app — cancel from the Shopify App Store or your store's Apps settings.
  • WooCommerce plugin or API — cancel from your MercatorOS dashboard account settings, or email support@mercatoros.com.

Upon cancellation, access to the Service continues until the end of your current billing period. After that, paid features will be deactivated. Your configuration data (tier settings, policies, scoring history) may be retained for up to 90 days to allow for reactivation, after which it may be permanently deleted.

If you have any issues with cancellation, email us at support@mercatoros.com and we will promptly resolve it.

Refund Policy

We want you to be satisfied with MercatorOS products. Our refund policy is as follows:

Free trial: If you cancel during the 30-day free trial, you will not be charged. No refund is necessary.

Monthly plans: Monthly subscriptions are non-refundable. If you cancel a monthly plan, you retain access until the end of the billing period; no partial-period refunds are issued.

Annual plans: If you cancel an annual subscription within 14 days of your initial purchase or annual renewal and have not made substantial use of the Service, you may request a full refund. After 14 days, annual plan fees are non-refundable except at our sole discretion.

Service outages: If MercatorOS experiences an unplanned outage exceeding 72 consecutive hours, you may request a prorated credit for the affected period.

How to request a refund: Email support@mercatoros.com with your account details and reason for the refund request. All refund requests will be reviewed and responded to within 5 business days. Approved refunds will be processed to the original payment method within 10 business days.

For Shopify app subscriptions, refunds are subject to Shopify's billing policies in addition to ours.

If you have any issues with a refund or cancellation, contact us at support@mercatoros.com — we will promptly resolve it.

Data and Privacy

Use of the Services is subject to our Privacy Policy at mercatoros.com/privacy. By using the Services, you consent to the data practices described in that policy.

You retain ownership of your business and customer data. By using the Services, you grant mercatorOS a limited licence to process that data solely to provide and improve the Services.

Intellectual Property

The Services, including all software, algorithms, design, and content, are owned by mercatorOS and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. The name "MercatorOS", "creditOS", and associated marks are proprietary to mercatorOS.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

Credit scoring and risk outputs are algorithmic estimates based on the data provided. They are tools to inform business decisions, not financial or legal advice. MercatorOS is not responsible for credit decisions made using these outputs, and you assume full responsibility for how you act on them.

Limitation of Liability

To the maximum extent permitted by applicable law, mercatorOS and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from your use of or inability to use the Services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid mercatorOS in the three calendar months immediately preceding the event giving rise to the claim.

Modifications to the Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of India.
